About Jane Makena Kirimi

Jane Makena Kirimi is the founder, managing partner and head of practice of JMK Law; she has a proven track record in diverse areas of law and currently leads the entire JMK family in implementing the Firm’s Vision and Mission. She serves as the decision maker for smooth running, management, profitability, leadership, mentorship and operations of the Firm ensuring that the partners, associates, lawyers and the support staff are effective in the delivery of the Firm’s services to ensure clients receive the highest quality of legal services.

Apart from her training as an Advocate, she is currently undertaking her training as a Certified Public Secretary of Kenya as well as a Master of Law in International Financial Law & Regulatory Law to sharpen her skills and knowledge on the dynamic legal and business worlds.


As a seasoned banking, finance and securities legal practitioner, she has acted for various banks & financial institutions in preparing all forms of security documents and structuring complex syndicated loans facilities some whose subject value exceeded Kenya Shillings One Billion Five Hundred Million (Kshs. 1,500,000,000). She has also been involved in advising some leading banks on the structure, operational and legal framework of mortgage-backed securities an emerging trend in the banking and finance industry. Currently, she’s the lead in a transaction between three are lenders in which two are international based private equity lenders wherein the Firm is advising on the structuring of a syndicated facility of a subject value of Kshs. Two Billion. Additionally, she is currently advising and acting for a top retailer in a mezzanine financing transaction by an international investor the subject value of Kshs. 1000,000,000

Ms. Kirimi has acted for real estate companies, developers in structuring complex real estate developments, preparation & negotiation of sale agreements, leases, transfers, joint venture agreements and further oversees their proper and successful stamping, and registration formalities. Further, she has advised and acted for various real estate clients in the amalgamation, change of user and extension of the lease processes. One such notable transaction was in negotiating Sales Agreements and Leases for a development of about 1300 units and further negotiating with the developer’s financier for release of the mother title together with the partial discharges to facilitate registration of the leases for both cash and financed buyers.

In the area of corporate and commercial law, she has advised and acted on behalf of various individuals and corporate entities undertaking the incorporation& restructuring of companies, partnerships, microfinance institutions among others. She has drafted various forms of commercial documents including joint venture agreements, shareholders agreement, and share purchase agreements, memorandum and articles of association and incorporation forms for companies, partnership deeds, employment contracts, and pharmaceutical supplies contracts and technical agreements She has also been involved in various energy and infrastructure projects including structuring project financing for such through Asset-Backed Securities. Further, she is a registered Patent Agent who has experience in handling patents application procedures as well as those of other forms of Intellectual Property such as trademarks, service marks, utility models and industrial design and she has advised various international law firms in the prosecution and management of their client’s trademarks, copyright, patents, utility models and industrial design portfolios in East Africa, OAPI and ARIPO registries as an emerging area of law.

Additionally, Makena is duly trained in legal audit and compliance and spearheads the Firm in offering legal audit and compliance services including but not limited to legal training to the Firm’s diverse clients ensuring that they are fully compliant and the risks thereof, giving them a sense of confidence and security in their operations in the market.

Under legislative drafting and policy formulation she has assisted her clients to participate in the lawmaking process by developing draft legislation, including regulations to acts of parliament.
